Caroline is a Partner with Withum’s Transaction Advisory Services Practice, specializing in tax due diligence, structuring, and post transaction integration and tax optimization planning. Caroline’s career as an M&A Tax professional spans nearly 25 years, including over a decade in the “Big 4”, several years as a senior “mega” Private Equity executive, and also served as tax counsel and head of risk management at a multi-billion-dollar tech start-up before returning to client service. Her experience and background as both service provider and corporate executive has culminated in Caroline’s unique arsenal of commercial business savvy coupled with technical expertise.

Caroline began her career in M&A as a member of the world’s foremost Big Four transaction advisory services practice based in California and New York, where she spent nearly 15 years serving clients in all aspects of business tax matters, including managing transaction tax due diligence and structuring teams comprised of professionals across multiple service lines across the globe in connection with a wide range of strategic and private equity transactions ranging in value from $5 million to over $15 billion. Her industry expertise includes automotive, cannabis, media and entertainment, real estate, and technology… to name a just a few.

As SVP & Head of Global Tax at a prominent Los Angeles-based Private Equity firm focused on media, entertainment, real estate, and opportunistic technology investments, Caroline was responsible for all global tax matters, including M&A tax planning and strategy, as well as oversight of US federal, state, local and international tax reporting for the growing organization, investment portfolio, family office, and charitable foundations.

In 2017, Caroline was presented with every M&A tax professional’s “bucket list” opportunity to join the executive finance team of a beleaguered start-up in dire need of a “Hail Mary” capital infusion – a leap she had to take before returning to client service.

A California native, Caroline holds a BS in Business Administration from the University of Southern California, which she earned when she was 19 years old, as well as a J.D. and LL.M. in Taxation from Loyola Law School. Caroline is a member of the State Bar of California and is a regular contributor and guest speaker for various business publications and networking platforms.
